执业经历

冼健律师现任广东豪盛律师事务所业务总监。自1998年以来,她已经从事法律工作26年,主要专注于金融案件、公司商案件和公共法律服务,包括诉讼和非诉讼业务。冼健律师拥有坚实的法律理论基础,她毕业于中国著名的中南财经政法大学,获法学学士学位,并于2022年8月以优异的学术成绩获得美国印第安纳大学凯利商学院金融硕士学位。她是广州仲裁委员会的仲裁员,也是国际争议解决与风险管理协会认证的专业商业调解员。

 

在过去的十年里,冼健律师探索了互联网金融、普惠金融、消费金融和房屋租赁等新兴领域,同时继续专注于传统银行零售业务。她在住房抵押预告登记案件方面有深刻的见解,致力于解决金融机构的系统性风险。在《物权法》实施之前,商业银行可以对办理了抵押预告登记的房屋享有优先受偿权。然而,《物权法》的实施带来了重大变化,限制了抵押预告登记直接获得抵押权,动摇了个人住房按揭贷款的根基,给银行带来了系统性的法律风险。司法实践中普遍不承认商业银行对仅办理了抵押预告登记的预购房屋享有优先受偿权,带来了广泛的问题。

 

冼健律师一直倡导通过立法改革解决这些问题。《民法典》和《最高人民法院关于适用<中华人民共和国民法典>有关担保制度的解释》现已有条件承认抵押预告登记产生优先受偿效力填补了预告登记制度的漏洞,肯定了冼健律师的改革呼吁。尽管取得了这些进展,但《物权法》和新法规实施很长一段时期法律的缺陷带来了重大挑战。冼健律师和她的团队努力保护银行的合法权益并确保住房按揭贷款的回收。她的论文《试论商业银行个人住房抵押贷款业务中抵押预告登记存在普遍性系统性风险及防范措施》在佛山市律师论文评选中获得了一等奖。

 

冼健律师坚持“深入理解客户商业模式,洞悉法律与业务;以问题为导向,提供全面解决方案;致力于长期奉献与持续改进”的执业理念。她带领团队提供高效、精确的法律支持,始终关注客户需求,并与客户建立了深厚的信任关系。冼健律师的客户包括各大国有商业银行、股份制商业银行、各大中小型公司企业及个人。其中,服务时间最长的客户已经与她合作了22年。

 

Xian Jian serves as the Business Director of Guangdong Hot Shine Law Firm. She has been practising law for 26 years since 1998, primarily focusing on financial cases, corporate and business cases, and public legal services, both in litigation and non-litigation. Xian possesses a solid foundation in legal theory, having graduated with her bachelor’s degree from the prestigious Zhongnan University of Economics and Law in China, and subsequently earned a Master of Science in Finance from the Kelley School of Business, Indiana University, USA, in August 2022 with outstanding academic performance. She is an arbitrator with the Guangzhou Arbitration Commission and a certified professional commercial mediator admitted by the International Dispute Resolution & Risk Management Institute.

 

Over the past decade, Xian has explored emerging fields like internet finance, inclusive finance, consumer finance, and housing leasing, while maintaining her focus on traditional banking retail business. She has deep insights into mortgage preliminary registration cases, addressing systemic risks for financial institutions. Prior to the implementation of the Property Law, commercial banks could directly register mortgages on pre-sold properties, granting them priority rights for repayment. However, the Property Law's implementation led to significant changes, restricting direct mortgage registration and destabilising the foundation of personal housing mortgage loans, creating systemic legal risks for banks. Judicial practices post-Property Law do not recognise the priority repayment rights of commercial banks for properties with mortgage preliminary registrations which presents pervasive issues.

 

Xian has advocated for legislative reforms to resolve these challenges. The Civil Code and Judicial Interpretation of Security Interests now conditionally recognise the priority repayment rights of preliminary mortgage registrations, correcting previous legal flaws and affirming Xian's call for reform. Despite these advancements, the period between the Property Law and new regulations posed significant challenges. Attorney Xian and her team worked diligently to protect banks' legal rights and ensure mortgage claim recovery. Her paper titled Discussion on the Widespread Systemic Risks and Preventive Measures of Mortgage Preliminary Registration in Personal Housing Mortgage Loan Business of Commercial Banks won the first prize in the Foshan Lawyer Paper Selection.

 

Xian adheres to the philosophy of "deeply understanding the client’s business model to develop profound insights into both law and business; adopting a problem-oriented approach to provide clients with open, comprehensive solutions; and committing to long-term dedication and continuous improvement." She leads her team in offering efficient, precise legal support, always focusing on clients' needs and building strong trust relationships. Xian's clients include major state-owned commercial banks, joint-stock commercial banks, as well as large, medium, and small companies and enterprises, and individuals. Among them, the longest-served client has been with her for 22 years.
